UAE acquisition question
How Does Working Capital Affect the Price You Pay for a UAE Business?
Working capital can materially affect the final purchase price of a UAE business. The principle is simple: The buyer expects the company to be delivered with a normal level of working capital required to operate immediately after completion. If the business closes below that level, the buyer may have to inject additional cash immediately.
What working capital typically includes
The precise definition varies by transaction, but operating working capital commonly includes:
- trade receivables;
- inventory;
- trade payables;
- selected operating accruals.
Cash, bank debt and certain other liabilities are often addressed separately.
Why a target level matters
Consider a distributor that normally requires significant inventory and receivables to support annual sales.
If the seller collects receivables aggressively, delays suppliers and reduces inventory before closing, the company may appear cash-rich but no longer have normal operating liquidity.
Transactions therefore often establish a target or working-capital peg.
Closing working capital is compared with that target and the difference may adjust the final price.
EY's regional transaction practice highlights closing net debt, working capital and completion mechanisms as important areas of purchase-price negotiation.
Seasonality matters
A single balance-sheet date can be misleading.
Retailers, distributors and contractors may naturally hold different levels of receivables, inventory and payables at different points in the year.
Monthly trends are therefore more useful than one convenient historic balance.
Test receivable and inventory quality
Headline balances are not enough.
For receivables, review:
- ageing;
- disputes;
- payment history;
- related-party exposure.
For inventory, review:
- ageing;
- obsolescence;
- slow-moving stock;
- actual saleability.
Growth can increase the requirement
A growth plan may require additional inventory and receivables after completion.
Purchase price and post-close funding should therefore be modelled separately.
Conclusion
The correct question is not only:
“What does the business cost?”
It is:
“How much total capital is required to acquire and operate it?”
Working capital is central to that answer.
