Investment banking guide
What does it really cost to buy a business in Dubai?
The purchase price is only the visible part. This guide builds the full capital-at-risk stack for a UAE acquisition before an LOI becomes a commitment.
In short
The real cost of buying a UAE business is purchase consideration plus the cash required to make the business stable after close. Buyers should model enterprise value and equity adjustments, working capital, diligence, legal/tax work, retention, management reinforcement, systems, capex, integration and contingency. A cheap headline valuation can become an expensive acquisition when these items are ignored.
1 · The formula
Total capital at risk is larger than the cheque to the seller
Use this frame
Total acquisition capital = consideration ± cash/debt and working-capital adjustments + diligence/advisers + retention + capex + systems + integration + contingency.
This is deliberately not a market-fee schedule. The amount in each bucket varies by sector, target quality, transaction structure and how much operating repair is required after close. The discipline is to make every bucket explicit before the buyer compares acquisition with greenfield entry or approves an LOI.
2 · Purchase mechanics
Enterprise value is not the amount of cash you will ultimately deploy
| Bucket | What to test | Why it changes the economics |
|---|---|---|
| Enterprise value | What earnings, assets and growth assumptions support the headline valuation? | It sets the starting point, not the full funding requirement. |
| Debt and cash | Which borrowings, leases, shareholder balances and cash items transfer or settle? | They can move equity consideration materially. |
| Working capital | What is a normal level of receivables, inventory, payables and accrued liabilities? | A shortfall becomes immediate post-close funding. |
| Deferred consideration / earn-out | What is contingent, what triggers payment and who controls the result? | It changes timing and can create post-close incentives or disputes. |
| Leakage / related parties | Are there owner expenses, intercompany balances or non-arm’s-length arrangements? | Normalisation can change both valuation and cash at close. |
3 · Working capital
The quietest place for an acquisition to become expensive
Reported EBITDA can look healthy while cash is tied up in overdue receivables or slow-moving inventory. Build a monthly working-capital bridge, not just a closing-balance comparison. Test the top customers individually, seasonality, provisioning policy, supplier terms and any one-off acceleration before the sale process.
- Age receivables by customer and test actual collections after period end.
- Separate normal inventory from obsolete, consignment or slow-moving stock.
- Identify supplier terms that depend on the founder or personal guarantees.
- Reconcile VAT, payroll and accrued employee items.
- Model the cash required if collections slip by one additional cycle after close.
4 · People
Price the transition, not only the payroll
Key-person retention
Who must stay for customers, operations or technical capability to survive the transition?
Management reinforcement
Will the buyer need a CFO, GM, sales leader or controller once the founder steps back?
Employee liabilities
Reconcile contractual and statutory employee obligations, including applicable end-of-service exposure.
5 · Systems and capex
Inherited operations often need a second purchase price
A target can be commercially attractive and still require immediate investment in ERP, CRM, cyber controls, reporting, maintenance, fleet, equipment, premises or quality systems. These are not integration footnotes when they are necessary to operate to the buyer’s standard.
Day-one controls
Bank access, payment authority, cash reporting, user access, backups and delegated authority.
Deferred capex
Maintenance or replacement that the seller postponed but the buyer cannot.
Integration systems
Finance, reporting, CRM, cybersecurity and data migration required to govern the business.
6 · Tax and ownership
Two UAE facts that belong in the model, not in assumptions
Foreign ownership
The UAE permits up to 100% foreign ownership for many mainland commercial activities, subject to strategic-impact and regulated activities. Verify the exact target licence and activity.
Corporate tax
The Federal Tax Authority states 0% on taxable income up to AED 375,000 and 9% on the portion above that threshold for ordinary taxable persons, subject to the law, exemptions and specific facts.
7 · Board check
Before approving the LOI, ask for one page
Force the team to reconcile the headline valuation with the full funding need. The page should show consideration, working-capital adjustment, transaction costs, employee and retention items, capex, systems, integration, contingency and the minimum cash buffer at day 100. If the investment committee cannot see that bridge, the transaction is not yet priced.

Frequently asked
What costs should I include when buying a business in Dubai?
Include purchase consideration, debt and cash adjustments, working-capital normalisation, diligence and advisory costs, employee and retention items, systems, capex, integration and contingency.
What is the difference between enterprise value and equity value?
Enterprise value describes the value of the operating business before the agreed treatment of debt and cash. The amount paid to shareholders depends on the transaction structure, debt, cash, working capital and other agreed adjustments.
Why is working capital important in UAE acquisitions?
A profitable company can still consume cash if receivables are slow, inventory is high or supplier terms are short. The buyer must understand the normal level of working capital required to run the business after close.
Should employee end-of-service liabilities be checked?
Yes. Employee obligations can become a material part of the economic picture and should be reconciled with contracts, payroll records and applicable UAE labour requirements.
How much contingency should a buyer keep?
There is no universal percentage. The reserve should reflect the target’s information quality, capex backlog, working-capital volatility, integration complexity and the number of assumptions that cannot be fully verified before close.
