Lower mid-market

In short

A UK buyer can own many UAE companies outright, but ownership permission is only one part of the acquisition decision. The harder questions sit under the waterline: whether customers stay, licences and contracts transfer as expected, the management layer survives the owner, and the business can operate on day 400.

UAE acquisition advisory for UK buyers: what to decide first

Before asking for a target list, write the acquisition thesis in plain English. The search becomes faster when the buyer is clear about what value must already exist in the target and what can be built after close.

01

Acquisition thesis

What are you actually buying: customers, capacity, licence, distribution, team, technology or cash flow?

02

Target boundaries

Sector, emirate / GCC geography, ownership preference, minimum scale, exclusions and non-negotiables.

03

Capital envelope

Purchase price plus working capital, management reinforcement, systems and integration cost.

04

Control model

Full ownership, majority stake or staged structure; decide what you can accept before seller outreach.

05

Evidence standard

What must be proven in the data room, on site, through customer references and by specialist advisers.

06

Day-100 outcome

What must be true 100 days after close for the acquisition thesis still to be credible.

Buying a business for sale in Dubai vs building from zero

A “business for sale in Dubai” listing is a lead, not an investment case. Compare acquisition with greenfield entry, then verify revenue quality, licence continuity, customer concentration, owner dependency and the funding needed after close.

DecisionAcquireBuild
Speed to customersPotential access to existing revenue, contracts and relationships.Slower commercial ramp, but the buyer designs the model from the start.
Operating evidenceHistorical performance can be diligenced, but may include owner dependency.Fewer inherited problems, but market demand and unit economics remain unproven.
PeopleExisting team and operating knowledge can transfer if retention works.Team must be recruited and the operating cadence created.
Licences / infrastructureMay already exist, subject to change-of-control and activity checks.Licences, premises, systems and vendor relationships must be established.
CapitalPurchase price plus post-close funding and integration.Lower initial transaction cost may be offset by time-to-revenue and build cost.
Before valuing a business for sale in Dubai. Treat the asking price as a starting point. Confirm the licensed activities, seller authority, revenue quality, customer concentration, working-capital pattern, related-party items, owner dependence and management retention before deciding what the business is worth to you.
Before setting up a company in Dubai. If your real objective is customers and operating cash flow rather than incorporation itself, compare business setup with acquiring an established UAE company. The acquisition route can buy time, customers, staff and capacity, but only if diligence proves they survive the ownership change. Read the country decision guide →

How a buy-side mandate runs

Keel works as the commercial and operational side of the deal team. Financial, legal, tax, audit and regulated work remains with appropriately licensed advisers.

Mandate and thesis

Write the investment logic in plain language. Set the target boundaries and the decision gates.

Screen and originate

Map the market, rank targets against the thesis and prepare a reasoned approach to each owner.

Early fit

Use structured conversations to test seller intent, strategic fit and information quality before heavy diligence.

Commercial diligence

Test customer durability, pricing, cost to serve, management depth, owner dependency and operating fragility.

Structure support

Work alongside legal and financial advisers on practical transition, retention, earn-out and operating implications.

100-day plan

Write the integration plan before close, with named owners and weekly milestones for the first thirty days.

What we test under the waterline

01

Customers

Concentration, decision makers, renewal history, contract quality and what happens after an ownership change.

02

Owner dependency

Relationships, approvals, pricing, know-how and exceptions that still sit with one person.

03

People

Management depth, retention risk, critical roles, employment liabilities and the actual decision cadence.

04

Economics

Pricing power, cost to serve, working capital, normalised margin and cash conversion.

05

Operations

Single points of failure in process, supply, systems, quality and service delivery.

06

Integration

Day-one governance, customer communication, systems access, reporting and value-creation ownership.

United Kingdom

The UK buyer lens: translate a formal deal process into UAE operating reality

UK buyers often arrive with a disciplined internal approval process: defined investment criteria, a financial model, legal workstreams and a preference for documented evidence. Keep that discipline. The adjustment is to recognise that many attractive UAE lower mid-market businesses are still owner-led. Critical knowledge may sit in the founder’s phone, customer relationships may not be fully captured in CRM, and operating practices can be more relationship-dependent than the data room suggests.

Build the model in both GBP and AED, but do not let currency conversion hide operating assumptions. Separate the purchase price from the cash needed after close for working capital, management hires, systems, employee liabilities and integration. Decide before outreach whether you will consider a majority stake, full ownership, or a staged structure. That changes which sellers will engage.

Plan at least one decision-grade visit to the UAE before final conviction. Use it to meet the management layer below the owner, walk the operating site, test customer and supplier dependency, and understand what has to happen in the first thirty days. The objective is not a ceremonial site tour. It is to test whether the investment case still works when the owner is no longer the operating system.

Three UAE facts to verify early

These points are decision inputs, not substitutes for target-specific legal, tax or employment advice.

Foreign ownership

The UAE permits up to 100% foreign ownership for many mainland commercial activities, while strategic-impact and regulated activities can carry additional conditions.

UAE Government ↗

Corporate tax

The Federal Tax Authority’s general guide states a 9% corporate tax rate on taxable income above AED 375,000, subject to the Corporate Tax Law, exemptions, free-zone rules and the taxpayer’s facts.

Federal Tax Authority ↗

End-of-service exposure

MOHRE guidance states that eligible foreign full-time employees can accrue end-of-service gratuity based on basic wage. This should be checked as a funded liability in diligence.

Questions buyers ask before appointing an adviser

Can a UK buyer acquire a UAE company?

In many activities, yes. UAE rules permit up to 100% foreign ownership for many mainland companies, subject to strategic-impact activities, sector rules and the specific licence. Ownership structure should be confirmed for the exact target with the relevant licensing authority and legal counsel.

How do I find off-market UAE acquisition targets?

Start with a written thesis, then map the sector before approaching owners. Keel screens and prioritises targets against the thesis, develops an approach argument for each, and uses structured early conversations to establish fit before either side spends heavily.

What does commercial due diligence cover?

Commercial diligence tests whether the business is likely to keep producing the economics the buyer is underwriting. We focus on customer concentration, contract quality, pricing power, key-person dependency, cost to serve, management depth, working capital pressure and operating fragility.

How long does a UAE acquisition take?

There is no responsible single answer. Timing depends on seller readiness, diligence quality, financing, approvals, structure and whether the target is owner-led. A buyer should manage to decision gates rather than promise a calendar date before the target is known.

How are buy-side advisers paid?

Keel’s current model is retainer plus success fee, disclosed at mandate. Legal, financial, tax, audit, valuation or regulated intermediation work is separately performed by appropriately licensed advisers where required.

When should the 100-day plan be written?

Before close. The first thirty days should already have named owners and weekly milestones covering governance, cash, customers, people and systems. Integration is not a post-closing administrative task; it is part of the investment case.

What should a UK buyer prepare before a UAE acquisition briefing?

Prepare a one-page acquisition brief covering your sector, purchase budget in GBP and AED, preferred ownership stake and decision timetable. Separate the purchase price from working capital and integration funding.

  • Define whether you are buying customer access, production capacity, a distribution network or an operating team.
  • Identify who can approve the transaction, who will lead diligence and who will run the business after completion.
  • List the evidence you need from a seller: financial records, customer concentration, key contracts and management responsibilities.
  • Agree which questions require separate UAE and UK legal, tax or financial advice before signing.

Considering a UAE acquisition?

Bring the sector, investment range, ownership preference and timing. The first discussion is used to test the acquisition thesis, not to force a mandate.
