In short

The most useful question is not whether a UAE target can pass a financial review. It is whether the business can keep its customers, people, licences, relationships and margin once ownership changes. Keel works on that operating layer alongside the buyer’s legal, tax and financial advisers.

What a buyer needs to decide first

A strong US-to-UAE mandate begins by separating transaction mechanics from the operating thesis. Define what you are actually buying: capacity, distribution, customer access, a licence, a management team, a manufacturing footprint, or cash flow.

01

Acquisition thesis

What are you actually buying: customers, capacity, licence, distribution, team, technology or cash flow?

02

Target boundaries

Sector, emirate / GCC geography, ownership preference, minimum scale, exclusions and non-negotiables.

03

Capital envelope

Purchase price plus working capital, management reinforcement, systems and integration cost.

04

Control model

Full ownership, majority stake or staged structure; decide what you can accept before seller outreach.

05

Evidence standard

What must be proven in the data room, on site, through customer references and by specialist advisers.

06

Day-100 outcome

What must be true 100 days after close for the acquisition thesis still to be credible.

Buying a business for sale in Dubai vs building from zero

A “business for sale in Dubai” listing is a lead, not an investment case. Compare acquisition with greenfield entry, then verify revenue quality, licence continuity, customer concentration, owner dependency and the funding needed after close.

DecisionAcquireBuild
Speed to customersPotential access to existing revenue, contracts and relationships.Slower commercial ramp, but the buyer designs the model from the start.
Operating evidenceHistorical performance can be diligenced, but may include owner dependency.Fewer inherited problems, but market demand and unit economics remain unproven.
PeopleExisting team and operating knowledge can transfer if retention works.Team must be recruited and the operating cadence created.
Licences / infrastructureMay already exist, subject to change-of-control and activity checks.Licences, premises, systems and vendor relationships must be established.
CapitalPurchase price plus post-close funding and integration.Lower initial transaction cost may be offset by time-to-revenue and build cost.
Before valuing a business for sale in Dubai. Treat the asking price as a starting point. Confirm the licensed activities, seller authority, revenue quality, customer concentration, working-capital pattern, related-party items, owner dependence and management retention before deciding what the business is worth to you.
Before setting up a company in Dubai. If your real objective is customers and operating cash flow rather than incorporation itself, compare business setup with acquiring an established UAE company. The acquisition route can buy time, customers, staff and capacity, but only if diligence proves they survive the ownership change. Read the country decision guide →

How a buy-side mandate runs

Keel works as the commercial and operational side of the deal team. Financial, legal, tax, audit and regulated work remains with appropriately licensed advisers.

Mandate and thesis

Write the investment logic in plain language. Set the target boundaries and the decision gates.

Screen and originate

Map the market, rank targets against the thesis and prepare a reasoned approach to each owner.

Early fit

Use structured conversations to test seller intent, strategic fit and information quality before heavy diligence.

Commercial diligence

Test customer durability, pricing, cost to serve, management depth, owner dependency and operating fragility.

Structure support

Work alongside legal and financial advisers on practical transition, retention, earn-out and operating implications.

100-day plan

Write the integration plan before close, with named owners and weekly milestones for the first thirty days.

What we test under the waterline

01

Customers

Concentration, decision makers, renewal history, contract quality and what happens after an ownership change.

02

Owner dependency

Relationships, approvals, pricing, know-how and exceptions that still sit with one person.

03

People

Management depth, retention risk, critical roles, employment liabilities and the actual decision cadence.

04

Economics

Pricing power, cost to serve, working capital, normalised margin and cash conversion.

05

Operations

Single points of failure in process, supply, systems, quality and service delivery.

06

Integration

Day-one governance, customer communication, systems access, reporting and value-creation ownership.

United States

The US buyer lens: keep deal velocity without outrunning operating evidence

US buyers may be accustomed to fast screening, a clear LOI process and specialist workstreams running in parallel. That can work in the UAE, but lower mid-market targets are frequently more owner-dependent than their size suggests. The founder may still carry key sales relationships, pricing decisions, supplier exceptions and informal controls. Those dependencies need to be converted into evidence before the model is treated as durable.

Build the investment case in USD and AED and separate headline enterprise value from the capital required after close. The first post-close budget may need to absorb management hires, systems clean-up, working-capital normalisation, employee liabilities or duplicated costs during integration. A price that looks attractive before those items can look very different after them.

Use the LOI-to-close period to write the first 100 days, not merely to complete checklists. Decide who owns cash, customer retention, management communication, system access and operating cadence on day one. If the acquisition thesis depends on synergies, assign an owner to each synergy before signing. A synergy without an owner is only a spreadsheet line.

Three UAE facts to verify early

These points are decision inputs, not substitutes for target-specific legal, tax or employment advice.

Foreign ownership

The UAE permits up to 100% foreign ownership for many mainland commercial activities, while strategic-impact and regulated activities can carry additional conditions.

UAE Government ↗

Corporate tax

The Federal Tax Authority’s general guide states a 9% corporate tax rate on taxable income above AED 375,000, subject to the Corporate Tax Law, exemptions, free-zone rules and the taxpayer’s facts.

End-of-service exposure

MOHRE guidance states that eligible foreign full-time employees can accrue end-of-service gratuity based on basic wage. This should be checked as a funded liability in diligence.

Questions buyers ask before appointing an adviser

Can a US buyer acquire a UAE company?

In many business activities, foreign investors can own up to 100% of a UAE mainland company. Strategic-impact and regulated activities can have additional conditions, so the exact target licence and ownership rules must be confirmed with the competent authority and legal counsel.

How do I source off-market UAE businesses?

Map the sector first, then approach only companies that fit the thesis. A credible owner approach explains why the buyer is relevant, what the buyer is looking for and why a conversation is worth the owner’s time.

What should I test beyond financial diligence?

Test customer durability, contract terms, who really owns relationships, pricing history, cost to serve, key-person dependency, licence continuity, management depth, supplier concentration and the real working-capital cycle.

How should LOI-to-close be managed?

Run legal, financial and commercial workstreams in parallel with a decision log. Every material diligence finding should lead to one of four outcomes: accept, mitigate, price, or walk away.

What fees should a buy-side mandate include?

Keel uses a disclosed retainer plus success-fee structure. Specialist legal, tax, audit, valuation and any regulated transaction activity remain separate and are carried by appropriately licensed providers where required.

How early should integration planning start?

Before signing. The acquisition thesis, diligence findings and integration plan should talk to each other. If a risk is material enough to affect value, it is material enough to have a named post-close owner.

What should a US buyer prepare before a UAE acquisition briefing?

Bring a clear acquisition thesis, a USD and AED funding model and the identity of the decision-making team. A UAE acquisition needs an operating plan as well as a purchase budget.

  • Set the sector, preferred ownership stake and limits on customer or supplier concentration.
  • Define a working timetable across US and UAE time zones, including site visits and management meetings.
  • Separate seller-reported profit from the cash required for working capital, management and integration.
  • Allocate UAE and US legal, tax and financial questions to the relevant advisers before committing.

Considering a UAE acquisition?

Bring the sector, investment range, ownership preference and timing. The first discussion is used to test the acquisition thesis, not to force a mandate.
